Master Terms of Service & Engagement

1. Scope of Agreement
These Master Terms of Service (“Terms”) govern access to the Aurevion AI website and constitute the general framework under which Aurevion AI executes Statements of Work (SOW) and Master Services Agreements (MSA) with enterprise clients.
2. 100% Intellectual Property Assignment
Aurevion retains ownership only of general pre-existing libraries, open-source dependencies, and reusable architectural primitives, which are licensed to Client on a perpetual, non-exclusive, royalty-free, worldwide basis.
3. Mutual Confidentiality & Non-Disclosure
Both parties agree that all technical specifications, trade secrets, data sets, proprietary algorithms, and commercial terms disclosed during exploratory consultations or active engineering sprints shall be maintained in strict confidence and protected using at least the same degree of care the receiving party uses for its own sensitive property.
4. Professional Warranties & Performance
Aurevion warrants that engineering services will be performed in a professional, workmanlike manner in accordance with prevailing software engineering best practices. For custom software deliverables, Aurevion provides a 30-day post-delivery bug-remediation warranty as defined in the applicable SOW.
5. Limitation of Liability
Except in cases of gross negligence, intentional misconduct, or breach of confidentiality covenants, neither party’s aggregate liability under any Statement of Work shall exceed the total fees paid by Client to Aurevion under that specific Statement of Work during the preceding twelve (12) month period.
6. Governing Law & Dispute Resolution
For North American contracts, these Terms are governed by the laws of the State of New York. For European and Swiss engagements, contracts are governed by Swiss law, with disputes submitted to the Swiss Arbitration Centre in Zurich.
